These Terms of Service ("Terms") govern your access to and use of the Alfagene Inc. website, ecommerce storefront, and related services (collectively, the "Services"). The Services include our online store through which we sell recombinant enzymes and related products (the "Products"). By using the Services or placing an order, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use the Services.

By using the Services, you represent that you are at least 18 years old and that you have the legal authority to enter into these Terms on your own behalf or on behalf of the organization you represent. You agree that you will use the Services only in compliance with these Terms and applicable laws.

Alfagene offers Products for sale through its online storefront. Product descriptions, specifications, labeling, documentation, and availability may change at any time without notice. We reserve the right to modify or discontinue any Product, correct errors, or restrict quantities, including after an order is submitted. All orders are subject to acceptance by Alfagene, and we may refuse or cancel an order at any time in our discretion, including for suspected fraud, compliance concerns, shipment limitations, pricing errors, or inability to verify payment or shipping details.

Pricing for Products is listed in U.S. dollars unless otherwise stated. Prices do not include applicable taxes, shipping costs, or any duties or fees unless explicitly stated at checkout. You are responsible for all applicable taxes and fees associated with your purchase. In the event of a pricing error, we reserve the right to cancel the order or contact you to confirm whether you wish to proceed at the correct price.

Purchases through the Services may be processed using Square Online and Square Payments, or other authorized checkout options. By submitting payment information, you represent that you are authorized to use the payment method and that you authorize the payment processor to charge the full amount of your purchase, including taxes and shipping, as applicable.

Many of our Products require temperature-controlled handling and shipping. Orders may ship with dry ice or other cold packaging depending on Product requirements. By placing an order, you acknowledge that temperature-sensitive shipments may be impacted by transit delays, weather, delivery timing, and carrier handling. You are responsible for ensuring someone is available to receive the shipment and that Products are stored appropriately immediately upon delivery. Alfagene may limit shipping days in order to reduce the risk of weekend delivery delays. Risk of loss transfers to you upon delivery.

Due to the nature of recombinant enzymes and temperature-sensitive biological products, all sales are final and we do not accept returns or exchanges. We do not provide refunds for refused deliveries, missed deliveries, or failures to properly receive or store temperature-sensitive shipments. We do not provide refunds except in limited circumstances involving a significant issue, such as a fulfillment error, the wrong Product shipped, substantial shipping damage, or a confirmed material issue attributable to Alfagene. If you believe there is a major issue with your order, you must contact us within seventy-two (72) hours of delivery and provide your order number and reasonable supporting documentation. If we determine, in our sole discretion, that a qualifying issue occurred, we may provide a replacement Product or issue a refund in whole or in part, depending on the circumstances.

Unless explicitly stated otherwise in writing, our Products are intended for professional, laboratory, research, industrial, and/or commercial use. You are solely responsible for determining whether a Product is appropriate for your intended use and for handling, storage, testing, safety procedures, regulatory compliance, and disposal in accordance with applicable laws and industry standards. Alfagene does not guarantee that Products will meet your intended performance requirements or application outcomes, and results may vary based on handling, storage, experimental design, and other factors outside of our control. Buyer acknowledges that certain Products are temperature-sensitive and may be shipped with dry ice. Buyer is responsible for ensuring proper handling upon receipt. Alfagene is not responsible for Product degradation caused by delays, missed deliveries, or improper storage after delivery.

All content on our Site, including text, graphics, logos, product names, images, and design elements, is owned by or licensed to Alfagene and is protected by intellectual property laws. You may not use, reproduce, distribute, or exploit any portion of the Services without Alfagene’s prior written consent.

To the maximum extent permitted by law, the Services and Products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Alfagene does not guarantee uninterrupted access to the Site or that the Services will be error-free.

To the maximum extent permitted by law, Alfagene will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, or loss of data, arising out of or related to your use of the Services or purchase or use of Products, even if Alfagene has been advised of the possibility of such damages. To the maximum extent permitted by law, Alfagene’s total liability for any claim arising out of or relating to the Services or Products will not exceed the amount paid by you for the Product(s) giving rise to the claim.

You agree to indemnify and hold harmless Alfagene and its directors, officers, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses arising from or related to your use of the Services, your purchase or use of Products, including improper storage, mishandling, or use not in accordance with provided documentation, your violation of these Terms, or your violation of applicable laws or third-party rights.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the jurisdiction of such courts.

We may update these Terms from time to time. Any updates will be posted on this page with an updated "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
